Indemnification Agreement Template

This template can be used for corporations who want to indemnify and protect its legal agents who will be acting on the company’s behalf.    This template helps to protect against liabilities for attorneys’ fees, judgments, and settlement payments arising out of the agent's service to the company, in the event of a civil action against the agent or the Company. Please note that this agreement has been drafted for corporations as opposed to LLCs, partnerships, etc.  Should other types of entities wish to use it, substantial modifications will need to be made.
