Distribution Agreement (Pro-Distributor) Template

This Distribution Agreement template can be used when your company acts as an intermediary distributor and  wants to purchase products from the manufacturer for resale to other resellers.  This agreement is written from the perspective and to the general benefit of the distributor. Some of the important clauses in this template that protect the distributor’s interests include those that address product warranties, reseller rights, protection from product liability suits, and an allowance for the vendor’s trademark usage.
